Sale to Chess Limited

We completed the sale of highly accredited penetration testing provider Armadillo Sec Ltd to one of the UK’s leading IT service providers, Chess Ltd.  Located in Stevenage, Armadillo’s highly experienced team of consultants are some of the most respected and accredited within the industry. Our team worked with the founders, helping them prepare the company for sale. We led the negotiations and advised on all financial aspects of the deal.

Debt Fundraising

We advised London based InsureTech consultancy r10 Limited on a £1.7m debt fund-raise from alternative growth lender Boost Capital. r10 is the leading business change and IT consultancy practice operating within the Lloyd’s and London insurance markets. The funds will be used to make a number of strategic investments into complimentary SaaS businesses that will enable them to drive additional revenues and build the r10 offering to their existing client base of global insurers.

Ashcroft ran a full funding process, engaging with various lenders to seek the best and most suitable deal for r10. We also advised on deal structure for the investments and overall strategy, as well as managing the FDD process for the funding and providing financial modelling expertise.

Management Buy out

We advised the management team of COEL, led by CEO Alistair Rumbelow, on the buy out of the business from the founders.  COEL, which is headquartered in Cambridge and has offices in Peterborough and Oxford, specialises in office and laboratory design and fit-out, and can name Bidwells, Jagex and Raspberry Pi on its client roster.

Sale to VetPartners Group

We advised the Partners of Rossdales LLP on the sale of the business to VetPartners Group.  Rossdales is the largest independent equine veterinary practice in the UK, offering first opinion and referral veterinary services. It has a long-established association with the racing and breeding industries in and around Newmarket, where the business is based.

Management Buy out

We completed the management buyout of East Anglian based hiring consultancy Marshall Wolfe.  Based at Adastral Park in Ipswich, Marshall Wolfe provides innovative staffing solutions and best practice hiring advice to a broad range of clients in London and the East.  Ashcroft advised the management team, led by Amber Hunt, on the buyout of the business from the founders  Jim and Sanchia Marshall, both of whom will remain with the business in advisory roles.

Sale to employee owned trust

We advised the shareholders of Red 10 Limited on the sale of the company to a newly formed Employee Owned Trust. Red 10 is a leading independent provider of IT and Business Change consultants to the asset management and insurance sectors.

Investment by Business Growth Fund

We advised Just Digital, a marketing services company in Cambs, on an undisclosed investment by Business Growth Fund (BGF), a leading mid-market PE firm. We worked with the directors and founder on the Company’s growth strategy and investment options. We concluded that a minority investment from private equity investors would provide the necessary catalyst for further growth, and enable the founder to “derisk” his personal position. We ran a competitive PE process and negotiated a minority investment from BGF.

Sale to Claranet Ltd

We completed the sale of leading cyber security business NotSoSecure to international IT services provider, Claranet Group Ltd.  Headquartered in Cambridge, NotSoSecure is one of the world’s most respected penetration testing firms in web and mobile applications and network security. Its customers include FTSE250 and Fortune 500 companies, and some of the largest UK & US retail businesses. Our team worked with founders Dan Haagman and Sumit “Sid” Siddharth for two years, helping them prepare the company for sale. We ran a full sale process, identifying potential buyers from Australia, USA and the UK. We led the negotiations and advised on all financial aspects of the deal.

Sale to Elaghmore Partners

We completed the sale of Priden Engineering to Private Equity firm Elaghmore Partners. A leading independent engineering businesses in the East of England, with four factories and over 100 employees, Priden provides innovative products and solutions in sectors including food engineering and vehicles. Financial support from Elaghmore will help Priden develop its customer base and expertise, and keep the current management team in place. We worked with Priden’s directors to prepare the business for sale, negotiated the deal on behalf of the shareholders, and advised on all financial aspects of the transaction, which won Insider Media’s “Deal of the Month”.

Sale to Sovereign Capital

We completed the sale of Cherrydown Vets to premier veterinary services business Linnaeus Group, backed by PE firm Sovereign Capital. Owned by Jonathan and Rachel Nurse, Cherrydown is one of the largest independent veterinary practices in Essex, with over 60 years’ experience caring for animals. Linnaeus has widened its geographical coverage by acquiring Cherrydown: the combined group totals 610 staff, including 120 vets in 24 sites. We worked closely with Jonathan Nurse to prepare the business for sale, identify potential buyers and market the opportunity. We were able to negotiate an outstanding deal for shareholders, and ensure an exciting future for the business and its staff.

Sale to United Laboratories LLC

We completed the sale of Cambridge software business cr360, to US safety company, United Laboratories (UL). Founded by Richard Kirby and Anthony Jenking in 2004, cr360 provides 200 clients (including McDonalds and Nestle) in 168 countries with a 360-degree view of EHS, compliance, Corporate Social Responsibility and supply chain information. UL acquired cr360 to provide customers with a platform to consistently track, measure and manage EHS, supply chain and CSR metrics on a global basis. The combined portfolio will help strengthen global relationships with key customers, while cr360 will leverage UL’s global scale and resources to expand into new markets.

Equity fundraising

We advised on a group restructuring and crowdfunding by rapidly growing restaurant, pub and catering business Cambscuisine. Having worked closely with the company since 2013, we reorganised several companies into a simpler group structure, allowing the directors to refinance their borrowings with one lender on improved terms, providing additional cash flow for investment in the expanding estate. A subsequent crowdfunding campaign through SyndicateRoom was significantly oversubscribed, raising £750k to invest in new sites. The crowdfunding brought in James Spragg, COO of the Casual Dining Group as an investor. He has joined Cambscuisine as a non-executive director.

Sale to Brown & Co

We advised the shareholders of Barford + Co, a well-established firm of chartered surveyors, valuers and planning consultants, on the sale of the company to leading East of England property business Brown & Co. We marketed the business, introduced potential buyers and negotiated the deal on behalf of the shareholders.

Equity fundraising

We advised the Cambridge-based Pint Shop on an equity fundraising round, including introducing new investors and assisting with negotiating the key terms. The equity funding’s purpose is to open additional sites across the UK.

Management buy in

We completed the sale of Ifftner Solutions to a Management Buy-In team led by local recruitment entrepreneur Joseph Hathiramani. Ifftner places IT and business contractors and permanent staff into a range of roles and sectors. We advised on deal structuring and valuation and secured funding from ABN AMRO to fund the transaction.

Sale to Lakehouse

We completed the sale of Newmarket-based Providor Ltd, a smart metering specialist, on its sale to the publicly listed energy support services group Lakehouse plc.

Management buy out

We completed the management buy-out (MBO) of Cambridge recruitment firm Trillium Associates. Trillium, based in Cambridge but operating internationally, is a leading independent recruitment consultancy for the construction, defence services and military infrastructure sectors. The business has been acquired by the management team from the founders of the company. Funding for the buy-out was provided by ABN AMRO Commercial Finance.

Financial modelling and general corporate finance advice

We advised alternative lender Thincats on a proposed £1m financing deal for Reading-based automotive services group, United Car Parts. The facility enabled the business to achieve its plans for multi-service line growth. We provided financial modelling, financial due diligence and general corporate finance advice to the client.

Sale of gdpr.co.uk to IT Governance

We completed the sale by edTech business Wonde Ltd of the intellectual property, domain name and all related assets of www.gdpr.co.uk to the AIM listed GRC International Group Plc. We identified a number of potential buyers for the business, led the negotiations and advised on all financial aspects of the deal.

Sale to Staffline Group

We advised the shareholders of Vital Recruitment Limited on the sale of the company to AIM listed Staffline Group plc. Vital Recruitment is an £80m turnover staffing business based in Peterborough and operating from 10 sites across the UK.

Sale to PA Consulting Group plc

We completed the sale of Cambridge based cyber security company 7safe Limited to PA Consulting Group. We helped to prepare the business for sale, identified a number of potential buyers and negotiated the deal on behalf of the shareholders.

We completed the Management Buyout of Kirton Healthcare Group to the management team led by Beverly Lawrence and backed by NVM Private Equity. Kirton designs and manufacturers specialist seating products for the healthcare market.
